Welcome to HarmonFlow (the “Service” or “Platform”), a software-as-a-service (SaaS) platform operated HarmonFlow LLC (“we,” “us,” or “our”). The Service helps alumni associations, community associations, rotating savings and credit associations (also known as ROSCAs or tontines), and similar groups manage their non-profit organizations through features such as member directories, elections, events, donations, contributions and expenses,  blogs, chat, stories, career/job boards, and ROSCA/tontine management.

These Terms and Conditions (“Terms”) govern your access to and use of the Service. By accessing or using the Service, or by creating an Account or Tenant, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

- “Service” or “Platform”: The HarmonFlow website, mobile app, software, tools, and related services.

- “Tenant”: A non-profit organization (e.g., alumni group, community association, or ROSCA) that subscribes to the Service and administers its own dedicated space (“Tenant Space”).

- “Member” or “User”: Individuals who access a Tenant Space as members or participants (including end users).

- “You” or “your”: Refers to both Tenants and Members, as applicable based on context.

- “Content”: Any text, images, videos, audio, data, profiles, posts, blogs, stories, chat messages, election materials, expense records, donation details, or other materials you upload, submit, or generate through the Service.

- “ROSCA/Tontine”: Rotating savings and credit features where members contribute and receive payouts in cycles, managed via the Service.

2. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service.

- For Tenants: You represent that you are authorized to bind your organization to these Terms. Each Tenant controls its own Tenant Space, member invitations, payment settings, and data.

- For Members: Access to a Tenant Space requires invitation or approval by the Tenant Administrator.

You agree to provide accurate information, keep your credentials secure, and notify us of any unauthorized access. We may suspend or terminate Accounts for violations.

3. Multi-Tenant Structure and Licenses

The Service is provided on a multi-tenant basis. Each Tenant receives a limited, non-exclusive, non-transferable, revocable license to use the Service for managing its organization during the active subscription term, subject to these Terms and the applicable subscription plan.

Tenants have full control over their Tenant Space, including:

- Customizing pages and settings.

- Managing members, permissions, and payments (e.g., donations, ROSCA contributions, expenses).

- Posting Content and using features like elections, events, job boards, blogs, chat, and stories.

You may not sublicense, resell, or use the Service to build a competing platform. We retain all rights to the underlying software, technology, and HarmonFlow branding.

4. User Content and Acceptable Use

You retain ownership of your Content. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, display, modify (as needed for formatting), and distribute it solely to provide, improve, and operate the Service.

You are solely responsible for your Content and activities. You agree not to post or transmit Content that:

- Violates laws, infringes third-party rights (including copyright, privacy, or publicity rights), or promotes illegal activities.

- Is defamatory, abusive, harassing, discriminatory, or contains hate speech.

- Involves spam, malware, or unauthorized scraping.

- For ROSCA/tontine features: Misrepresents contributions, payouts, or group rules in a way that could mislead participants.

- Interferes with elections, voting integrity, or other platform features.

We may monitor, remove, or refuse Content at our discretion without notice, especially if it violates these Terms or poses risks to the Service or other users. Prohibited conduct also includes impersonation, hacking, interfering with elections/voting, or using the Service for unauthorized financial schemes.

5. Specific Feature Rules

- Elections and Voting: Tenants are responsible for setting fair rules. We provide tools “as is” and are not liable for election outcomes, disputes, or alleged irregularities.

- ROSCA/Tontine Management: The Service offers administrative tools only. We do not act as a financial intermediary, hold funds, guarantee payouts, or provide legal enforcement for contributions or defaults. ROSCAs rely on group trust; any disputes, non-payments, or losses are solely between participants and the Tenant. Participants should understand there may be no legal recourse for defaults in many jurisdictions.

- Donations, Expenses, and Payments: Tenants control their payment settings and processing (via integrated third-party providers). We are not responsible for payment failures, refunds, tax compliance, or disputes over donations/expenses. All financial transactions are subject to the Tenant’s policies and the payment processor’s terms.

- Chat, Stories, Blogs, Job Board, Events, Member Directory: These are for legitimate organizational use. Content must comply with acceptable use rules. We do not endorse or verify job postings, event details, or member information.

6. Subscriptions, Payments, and Billing

Tenants pay subscription fees as described on our pricing page or in the order form. Fees are typically recurring and auto-renew unless canceled.

- You authorize charges to your payment method.

- Tenants control billing for any member-paid features (if offered).

- We may change prices with notice; continued use constitutes acceptance.

- “Subscriptions are non-refundable except as required by law. You may cancel via your Account settings before the renewal date.”

All fees are in U.S. Dollars and exclusive of taxes (which you are responsible for). Late payments may result in suspension.

7. Intellectual Property

All rights in the Service, its design, features, logos, and underlying technology belong to us or our licensors. You may not copy, modify, reverse engineer, or create derivative works.

Trademarks of HarmonFlow may not be used without permission. Tenants grant us a limited license to use their name/logo on our marketing materials (with opt-out rights where reasonable).

8. Third-Party Services and Integrations

The Service may integrate with payment processors, email services, or other third parties. Your use of those is governed by their terms. We are not responsible for their performance, security, or data practices.

9. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. We do not warrant uninterrupted access, error-free operation, or that the Service will meet your specific needs (including accurate ROSCA tracking or election security).

Important Financial Disclaimer: Features involving money (ROSCA/tontines, donations, expenses) are administrative tools only. We do not provide financial, legal, accounting, or advisory services. We are not liable for any financial losses, disputes, defaults, or regulatory issues arising from your use of these features. Consult professionals for legal or financial advice.

We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law, we and our affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or business opportunities) arising from the Service, even if advised of the possibility.

Our total liability shall not exceed the total fees you paid to us in the [12 months] preceding the claim (or $100 if no fees were paid).

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from:

- Your Content or use of the Service.

- Your Tenant Space activities (including elections, ROSCAs, donations, or events).

- Violations of these Terms or applicable laws.

- Disputes between Members or with third parties.

12. Termination and Suspension

We may suspend or terminate your access (or a Tenant Space) at any time for violations, non-payment, or to protect the Service, with or without notice where appropriate.

Upon termination, your license ends, but surviving provisions (e.g., disclaimers, liability limits, indemnification) remain in effect. Tenants should export their data before termination (subject to our data retention policies).

13. Changes to These Terms

We may update these Terms. Material changes will be notified via email, in-app notice, or posting with a new “Last Updated” date. Continued use after changes means you accept the new Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the **State of Texas**, without regard to conflict of laws rules.

Disputes shall be resolved exclusively in the state or federal courts located in **[Dallas County or Rockwall County, Texas]**. You consent to the jurisdiction of these courts.

15. Miscellaneous

- **Severability**: Invalid provisions do not affect the rest.

- **No Waiver**: Failure to enforce a right does not waive it.

- **Entire Agreement**: These Terms, our Privacy Policy, and any Tenant-specific order form constitute the full agreement.

- **International Users**: You are responsible for complying with local laws.
